Terms of Service
Effective date: May 14, 2026
These Terms of Service ("Terms") are a legal agreement between you ("you" or "User") and Formulate, Inc. ("Formulate", "we", "us", or "our") governing your access to and use of the Formulate financial forecasting platform and all related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Account Registration
You must provide accurate, current, and complete information when registering for an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:
- Notify us immediately at support@formulateinc.com if you suspect unauthorized access to your account.
- Not share your credentials with third parties.
- Not create accounts by automated means or under false pretenses.
3. Subscription Plans and Payment
3.1 Plans
The Service is offered on a subscription basis. Available plans, features, and pricing are described on our pricing page and may be updated from time to time. A free tier may be offered with limited features.
3.2 Billing
Paid subscriptions are billed in advance on a monthly or annual basis as selected. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. We use Stripe to process payments; by subscribing you agree to Stripe's terms of service.
3.3 Free Trials
We may offer free trials. After the trial period ends, your account will automatically convert to the selected paid plan unless you cancel before the trial expires.
3.4 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date.
3.5 Price Changes
We may change subscription prices with at least 30 days' notice. Continued use of the Service after the price change takes effect constitutes your agreement to the new price.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload, transmit, or store content that is malicious, infringing, defamatory, or that violates the rights of any third party.
- Attempt to gain unauthorized access to any portion of the Service or its related systems.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Scrape, crawl, or otherwise extract data from the Service using automated means without our written consent.
- Resell or sublicense access to the Service without our written consent.
5. Your Content
5.1 Ownership
You retain all ownership rights to the forecasts, data, and other content you create within the Service ("Your Content"). We do not claim ownership of Your Content.
5.2 License to Us
By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Content solely as necessary to provide the Service to you.
5.3 AI Features
When you use AI-assisted features, portions of Your Content may be transmitted to third-party AI providers to generate responses. We handle this in accordance with our Privacy Policy and do not permit AI providers to use Your Content to train their general models.
5.4 Responsibility
You are solely responsible for the accuracy, legality, and appropriateness of Your Content. You represent and warrant that you have all rights necessary to grant the licenses above.
6. Intellectual Property
The Service, including its software, design, trademarks, and content (excluding Your Content), is owned by or licensed to Formulate, Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use it as described herein.
7. Third-Party Services
The Service may integrate with or link to third-party services (e.g., Stripe, Anthropic). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the acts or omissions of third-party services.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind.
To the fullest extent permitted by applicable law, Formulate, Inc. disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Financial forecasts and AI-generated suggestions are for informational purposes only and do not constitute financial, legal, or investment advice.
9. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will Formulate, Inc., its affiliates, officers, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms or your use of the Service, even if advised of the possibility of such damages.
Our total aggregate liability for any claims arising under these Terms is limited to the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) US $100.
10. Indemnification
You agree to indemnify, defend, and hold harmless Formulate, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, Your Content, or your violation of these Terms.
11. Termination
Either party may terminate these Terms at any time:
- By you — by deleting your account or canceling your subscription.
- By us — immediately and without notice if you materially breach these Terms, engage in fraud, or cause harm to the Service or other users.
Upon termination, your right to use the Service ceases. Sections 5, 6, 8, 9, 10, and 13 survive termination.
12. Changes to the Service and Terms
We reserve the right to modify or discontinue the Service (or any part of it) at any time. We will provide at least 30 days' notice for material discontinuations that affect paid subscribers. We may also update these Terms; material changes will be communicated by email or in-app notice at least 14 days before they take effect. Your continued use after that date constitutes your agreement to the updated Terms.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at support@formulateinc.com. If the dispute is not resolved within 30 days, either party may pursue formal remedies.
Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Delaware, USA, and you consent to personal jurisdiction in those courts.
14. Miscellaneous
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Formulate with respect to the Service and supersede all prior agreements.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
- No Waiver. Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision.
- Assignment. You may not assign these Terms without our prior written consent. We may assign our rights and obligations freely.
- Force Majeure. We are not liable for failures or delays caused by circumstances beyond our reasonable control.
